1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you, whether as an individual or on behalf of an entity, and BDS BEES LLC, a Utah limited liability company with its principal place of business at 7533 S Center View Ct, West Jordan, UT 84084-5526, United States, governing your access to and use of the website located at https://www.bdsbees.lol and all related services, content, applications, and digital properties operated by BDS BEES LLC.

By accessing, browsing, or using the Services in any manner including but not limited to visiting the website, submitting a contact form, requesting a consultation, or engaging BDS BEES LLC for professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to all terms and conditions set forth herein, you are expressly prohibited from using the Services and must discontinue access immediately.

These Terms apply to all visitors, registered users, clients, partners, and any other individuals or entities who access or use the Services. Supplemental terms, conditions, or documents that may be posted on the Services from time to time are hereby expressly incorporated into these Terms by reference.

2. Description of Services

BDS BEES LLC provides computer systems design and related services including but not limited to systems architecture consulting, network engineering, data platform development, cloud infrastructure design, DevOps and CI/CD pipeline engineering, security assessment and compliance consulting, artificial intelligence and machine learning infrastructure deployment, and strategic technology advisory services. The specific scope, deliverables, timeline, and commercial terms for any engagement are defined in a separate Statement of Work or Service Agreement executed between BDS BEES LLC and the client.

We reserve the right to modify, suspend, or discontinue any aspect of the Services, whether temporarily or permanently, at any time with or without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

3. Website Use and Conduct

By using the BDS BEES LLC website, you agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to engage in any of the following prohibited activities:

• Violating any applicable federal, state, local, or international law, regulation, or ordinance including but not limited to data protection laws, export control regulations, and intellectual property statutes.
• Attempting to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services, through hacking, password mining, or any other illegitimate means.
• Using any automated means including robots, spiders, crawlers, scrapers, or other data mining tools to access, acquire, copy, or monitor any portion of the Services without our express prior written consent.
• Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful through the Services.
• Engaging in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

4. Intellectual Property Rights

Unless otherwise expressly indicated, all content, features, and functionality available through the Services including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, code, algorithms, page layouts, design elements, and the overall selection and arrangement thereof, are owned by BDS BEES LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The BDS Bees name, the BDS BEES LLC name, and all related names, logos, product and service names, designs, and slogans are trademarks of BDS BEES LLC or its affiliates. You must not use such marks without the prior written permission of BDS BEES LLC. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. This license does not include any resale or commercial use of any Service, or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of any Service or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

5. Client Obligations

When engaging BDS BEES LLC for professional services, you agree to the following obligations which are essential for the successful delivery of our computer systems design and consulting engagements:

• Provide accurate, current, and complete information about your organization, technical environment, infrastructure requirements, and project objectives as reasonably requested by our team during the discovery, planning, and execution phases.
• Grant timely access to relevant systems, data, facilities, and personnel necessary for BDS BEES LLC to perform the agreed-upon services in accordance with the project timeline.
• Designate a qualified point of contact with decision-making authority who will serve as the primary liaison between your organization and the BDS BEES LLC project team throughout the engagement.
• Review and provide feedback on deliverables within the review periods specified in the applicable Statement of Work to avoid project delays and ensure alignment with your requirements.
• Maintain appropriate backups of all systems, data, and configurations prior to any changes implemented as part of the engagement.
• Comply with all applicable laws and regulations relevant to your industry including but not limited to data protection, privacy, export control, and industry-specific compliance requirements.

6. Confidentiality

In the course of our engagement, BDS BEES LLC and the client may exchange confidential and proprietary information including but not limited to business strategies, technical architectures, source code, infrastructure configurations, financial data, client lists, and trade secrets. Each party agrees to:

• Use confidential information solely for the purpose of performing obligations or exercising rights under the applicable agreement and these Terms of Service.
• Protect confidential information using at least the same degree of care used to protect its own confidential information of a similar nature, but in no event less than reasonable care.
• Limit access to confidential information to those employees, contractors, and agents who need such access for the purposes described herein and who are bound by confidentiality obligations at least as restrictive as those contained in these Terms.
• Not disclose confidential information to any third party without the disclosing party's prior written consent, except as required by law, regulation, or court order, provided the receiving party gives the disclosing party prompt notice of such requirement and cooperates in any effort to contest or limit the scope of the disclosure.

The confidentiality obligations set forth in this section shall survive the termination or expiration of any agreement between the parties for a period of five years, or indefinitely with respect to any information that constitutes a trade secret under applicable law.

7. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES PROVIDED THROUGH THE BDS BEES LLC WEBSITE AND ASSOCIATED PLATFORMS ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BDS BEES LLC HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, BDS BEES LLC MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE WITH ANY PARTICULAR SOFTWARE OR HARDWARE, OPERATE WITHOUT INTERRUPTION, BE SECURE OR ERROR-FREE, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM BDS BEES LLC OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

BDS BEES LLC DISCLAIMS ALL LIABILITY FOR ANY ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SERVICES AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST BDS BEES LLC FOR DISSATISFACTION WITH THE SERVICES OR ANY CONTENT IS TO STOP USING THE SERVICES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BDS BEES LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER DAMAGES OR LOSSES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR INABILITY TO USE THE SERVICES, ANY WEBSITES LINKED TO THE SERVICES, OR ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, EVEN IF BDS BEES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF BDS BEES LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO BDS BEES LLC DURING THE TWELVE MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF BDS BEES LLC SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless BDS BEES LLC, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, partners, contractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees including reasonable attorneys fees arising out of or relating to: (a) your violation of these Terms of Service; (b) your use of the Services, including but not limited to any user-generated content you submit, transmit, or make available through the Services; (c) your violation of any third-party right including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (d) any claim that your use of the Services caused damage to a third party.

BDS BEES LLC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any matter without the prior written consent of BDS BEES LLC.

10. Governing Law and Dispute Resolution

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether based on contract, tort, statute, or otherwise, shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the state courts located in Salt Lake County, Utah. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Services or these Terms must be filed within one year after such claim or cause of action arose or be forever barred.

11. General Provisions

The following general provisions apply to these Terms of Service and the relationship between you and BDS BEES LLC:

• Entire Agreement: These Terms, together with any applicable Statement of Work, Service Agreement, and Privacy Policy, constitute the sole and entire agreement between you and BDS BEES LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. If such modification is not possible, the unenforceable provision shall be severed, and the remainder of these Terms shall remain in effect.
• Waiver: No waiver by BDS BEES LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BDS BEES LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of BDS BEES LLC. BDS BEES LLC may assign or transfer its rights and obligations under these Terms, in whole or in part, at its sole discretion without restriction, including by operation of law in connection with a merger, acquisition, or sale of assets.
• Force Majeure: BDS BEES LLC shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, internet or utility failures, pandemics, or other events that materially affect our ability to deliver the Services.
• Relationship of the Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and BDS BEES LLC. Both parties are independent contractors and neither party has the authority to bind the other to any third party or otherwise to contract in the name of or create a liability against the other party.
• Survival: All provisions of these Terms which by their nature should survive termination shall survive termination including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
